Our Integrator believes they have operational veto power over every resource decision, while as the Visionary owner, I believe ultimate authority on large capital outlays belongs to me. Where is the exact boundary of authority between Visionary and Integrator when high-stakes decisions deadlock?

This friction is common when a business implements EOS and transitions from founder fiat to disciplined operational execution. The tension stems from a misunderstanding of the fundamental roles defined on the Accountability Chart.

The Integrator is accountable for the execution of the business plan, harmonizing the leadership team, and achieving the annual budget agreed upon in the V/TO. Within the boundaries of that approved budget and quarterly Rocks, the Integrator has total authority over operational resource allocation, vendor contracts, and staffing decisions. The Visionary cannot micro-manage line items or bypass the Integrator to approve pet expenditures.

However, ultimate ownership authority and high-stakes capital allocation belong to the owner and Visionary seat. If an investment falls outside the approved annual budget, requires significant debt financing, dilutes equity, or represents a fundamental strategic pivot that alters the company core focus, the Visionary holds the final card.

When a deadlock occurs, do not litigate it inside the weekly Level 10 Meeting. That confuses the rest of the leadership team. Take the issue directly into your weekly Same Page meeting. Use the IDS process to confront the disagreement privately.

The test is simple: Does this expenditure fit the agreed vision and financial model already locked into the V/TO? If yes, the Integrator executes. If it alters the financial trajectory, risks balance sheet solvency, or represents an unbudgeted strategic bet, the Visionary sets the boundary. If you cannot reach alignment in the Same Page meeting, the owner makes the final call, but must accept the consequences of overruling their operational partner.
