We want to position the business for an institutional private equity exit within four years, but our current leaders have only worked in our company. Should we invest in upskilling our existing leadership team or replace them with seasoned M&A veterans?
Do not rush to replace loyal, high-performing leaders with expensive outside executives who claim M&A experience. Outside hires unfamiliar with your culture frequently fail to assimilate, causing operational friction and staff turnover that destroys enterprise value long before you ever meet an investment banker.
Begin by evaluating your current team against the future Accountability Chart required for the exit. Use GWC. Do your existing leaders Get the expanded operational rigor? Do they genuinely Want the intense demands of institutional ownership? Do they have the mental and emotional Capacity to scale processes, implement sophisticated AI tools, and handle professional audits?
If a current executive has the GWC and embodies your core values, upskill them aggressively:
- Bring in specialized fractional advisors or an EOS Implementer to teach them the rhythm of rigorous quarterly Traction and disciplined Scorecard accountability.
- Pair them with specialized consultants to upgrade specific functional disciplines, such as converting cash-basis bookkeeping to GAAP-compliant financial reporting.
- Expose them directly to third-party due diligence prep so they learn what institutional buyers scrutinize without feeling threatened.
However, if an executive clearly lacks the capacity to operate at an eight-figure scale or actively resists institutional discipline, you must make a targeted seat change early. Do not wait until twelve months before going to market. A new executive requires at least eighteen to twenty-four months to establish operational rhythm, earn team trust, and produce measurable results on their Scorecard.
Your goal is an exit-ready superstructure: a cohesive, self-sustaining leadership team that runs the business flawlessly without founder dependence, regardless of whether those seats are filled by homegrown leaders or strategic outside hires.
