Our single largest client represents 22 percent of our total revenue, and the relationship is held almost entirely by our founder. How do we transition this client account to our leadership team before going to market so buyers do not haircut our valuation for owner dependence?

Customer concentration combined with owner dependence is one of the fastest ways to kill deal value. If your top customer represents 22 percent of revenue and calls your founder directly whenever an issue arises, any sophisticated buyer will assume that revenue leaves when the founder exits. They will either lower their multiple, require a massive earnout, or demand an extended founder employment contract.

You must systematically institutionalize that relationship on your Accountability Chart at least twelve to eighteen months before launching a sale process. Use your quarterly Rocks to remove the founder from day-to-day account management.

Start by assigning a dedicated Key Account Director who GWC™ (Gets it, Wants it, and has the Capacity to do it) to own the client operational deliverables. In your Level 10 Meeting™, track the milestone transition plan week by week. The founder must step back into an executive sponsorship role, communicating to the client that the leadership team is taking over to provide faster response times and dedicated operational support.

Next, institutionalize the contract. Move any informal handshake agreements into a multi-year master agreement executed between the corporate entities, not individual personalities. Establish regular quarterly business reviews led entirely by your Integrator and operational leads, with the founder attending only the first session as an observer.

When you go to market, your Virtual Data Room must show documentation of this completed transition. If diligence records confirm that the client has interacted exclusively with your leadership team for over four quarters without founder intervention, the buyer cannot justify an owner-dependence valuation penalty.
