I just signed an LOI and we are entering deep due diligence. When and how do I bring my leadership team into the loop without causing a massive panic?
Timing is everything when it comes to sharing exit news. If you tell your leadership team too early, you risk distraction, anxiety, and key players looking for exit ramps before a deal is even finalized. If you tell them too late, you destroy the trust you spent years building. The optimal window is usually after the letter of intent is signed and major due diligence milestones are met, but before the final purchase agreement is executed. Frame the transaction not as an exit, but as a growth partner acquisition. Explain how this move provides the capital and resources to achieve the long-term goals on your V/TO®. Involve your leadership team in the diligence process by assigning specific, structured tasks rather than dumping information on them. Address their self-interest immediately by outlining their future roles on the updated Accountability Chart and discussing any retention bonuses or equity acceleration plans. Your goal is to show them that the acquisition is a win for their careers, not just a cash-out for you. Keep communication open and address their concerns immediately in your regular meetings.
