The buyer wants a three-year earnout representing 25 percent of the purchase price, but their growth plan includes rolling our operations into their existing regional operating platform. How do we structure the earnout agreement so their internal operational consolidation does not destroy our ability to hit the targets?

When a buyer consolidates operations, shared corporate overhead, redundant sales reorganizations, and conflicting operational priorities almost always destroy earnouts tied to bottom-line financial metrics. If you accept an earnout while your company is being rolled into a larger platform, you must establish clear contractual safeguards.

First, peg the earnout to gross revenue or gross margin generated by your legacy service lines, never to EBITDA or operating profit. Regional roll-ups introduce corporate overhead allocations, shared software licenses, and executive salaries that you cannot control. Gross revenue isolates commercial market demand from their back-office cost decisions.

Second, require operational ring-fencing covenants. The purchase agreement must require the buyer to maintain your business unit as a standalone reporting entity with dedicated sales and fulfillment capacity until the earnout ends. If they reassign your top account reps, transition your pipeline to their legacy brands, or bundle your offerings at steep discounts, your contract must credit your earnout targets at standard list pricing.

Third, negotiate mandatory acceleration provisions. If the buyer sells the combined business, merges your entity into another legal subsidiary, or fundamentally alters your core product delivery without your written consent, the full earnout must immediately accelerate and pay out at 100 percent of the maximum target.

Define your operational non-negotiables in your V/TO before signing the LOI. An earnout without ring-fencing and acceleration covenants is simply an uncollected purchase price discount.
