A strategic competitor is offering an 8x EBITDA multiple while a private equity sponsor is offering 6.2x. The strategic offer looks superior on paper, but their LOI includes aggressive reps, operational transition milestones, and customer transfer requirements. How do we evaluate whether the higher strategic multiple is worth the operational execution risk?
A strategic buyer pays a higher multiple because they intend to extract immediate synergy value by absorbing your customer base, cutting administrative headcount, and consolidating facilities. However, that premium valuation almost always comes with significant operational friction, longer regulatory reviews, and higher closing risk.
To evaluate whether the 8x strategic bid truly beats the 6.2x financial sponsor offer, you must strip away the headline multiple and analyze net real-dollar risk.
Evaluate three specific risk categories:
First, examine indemnity exposure and escrow terms. Strategic buyers often demand extensive fundamental reps, longer indemnity survival periods (18 to 24 months), and higher indemnity escrow withholdings (10 to 15 percent). Financial sponsors, by contrast, routinely utilize buy-side Representation and Warranty Insurance, capping your post-close indemnity exposure to a modest retention pool of 0.5 to 1 percent of enterprise value that drops away after 12 months.
Second, look at closing certainty and competitive exposure. If diligence fails or the strategic buyer walks away after 90 days, they leave your data room with proprietary insight into your pricing, margins, top customers, and key employees. A financial sponsor has no competing operational interest if the deal terminates.
Third, examine the consideration structure. If the strategic buyer's 8x bid includes earnouts, transition milestones, or stock in their corporate entity, the real cash-at-close multiple might actually be lower than the sponsor's 6.2x all-cash or clean debt-backed bid.
Calculate your certainty-adjusted net proceeds. If the strategic premium does not deliver significantly more cash at closing under clean, market-standard reps, the lower financial sponsor offer is frequently the superior economic outcome.
