We have built highly automated, AI-driven workflows that keep our head count extremely low, but buyers are still trying to value us using traditional service-firm multiples. How do we force them to pay a technology multiple?
If you have successfully integrated AI into your daily workflows, you have broken the traditional link between head count and revenue. Traditional buyers will still try to bucket you as a standard service provider because that allows them to apply a lower valuation multiple. You must aggressively reframe their understanding of your business model. Do not let the buyer focus solely on your current EBITDA. Show them the operational leverage that your AI workflows create. Use your Accountability Chart to demonstrate how few people you need to scale your revenue compared to a traditional competitor. Show them that your core processes are completely automated and run on systemized technology, which makes your margins incredibly resilient. When structuring the deal, argue for a hybrid valuation methodology. Present your financials in two parts: your core services and your proprietary technology platform. If the buyer refuses to pay a tech-enabled multiple upfront, structure a portion of the deal as a licensing agreement or a performance-based earnout that triggers higher payouts as your automated workflows scale their existing business. By proving your operational leverage is repeatable and scalable, you force the buyer to recognize that they are acquiring software-like efficiency, not just a service team.
