My sibling is a minority shareholder and holds the Director of Human Resources seat on our Accountability Chart. They share our core values, but as our team grew past eighty people, they clearly lack the capacity for strategic recruiting, compliance, and compensation design. How do we handle this Right Person, Right Seat call?

Family businesses often compromise business logic to keep peace at the dinner table. When a family member sits in a critical seat they cannot execute, the business suffers twice: first from operational failure, and second from leadership team cynicism. Other managers see the double standard and stop taking the Accountability Chart seriously.

In EOS terms, your sibling is a Right Person in the Wrong Seat. They match your core values, but they do not have the Capacity component of GWC. Treating them with dignity means addressing the gap directly rather than working around them.

Follow these steps:

First, use the People Analyzer to evaluate the seat objectively based on its five core roles. Keep the conversation focused purely on the roles required for an eighty-person business versus the twenty-person company of five years ago. Do not attack their work ethic or character. The business simply outgrew the seat requirements.

Second, look for a Right Seat on the Accountability Chart where their natural talents and capacity align. Perhaps they transition to an individual contributor role in community relations, culture, onboarding, or corporate philanthropy.

Third, separate ownership from operational accountability. As a minority shareholder, they are entitled to distributions and board-level updates, but an equity stake does not give anyone the right to hold an operational seat they cannot execute.

If there is no genuine seat available that matches their GWC, you must help them transition out of the business cleanly. Provide a fair severance package and maintain clear family boundaries. Protecting the enterprise value of the business protects the entire family's financial security.
