We have loyal, long-tenured employees holding director-level seats on our Accountability Chart who cannot operate under institutional private equity ownership. How do we address these talent gaps on a three-year exit runway without damaging team trust?
Private equity buyers evaluate your management layer through an institutional scaling lens. If a long-tenured leader lacks the technical competence to manage double the volume, the buyer will simply discount the valuation to fund their immediate executive replacement post-close. You must resolve these capability gaps long before an acquirer begins management interviews.
Audit your leadership team using the People Analyzer tool. Evaluate every individual against your core values and confirm whether they have GWC for their specific seat on the future-state Accountability Chart:
- Do they Get the modern technical requirements of a larger business?
- Do they genuinely Want the stress of scaling under private equity metrics?
- Do they have the technical and intellectual Capacity to execute without your personal intervention?
When a loyal team member lacks capacity, your responsibility is to protect both the business and their dignity. Do not humiliate them by waiting for a cold buyer to fire them three months after closing. Reorganize the Accountability Chart at least eighteen months before entering the market.
Elevate or recruit a seasoned operator who has successfully managed scale to take the seat, and move your legacy employee into an individual contributor or specialized operational seat where their organizational knowledge remains valuable. Be transparent about why the company needs institutional scaling capability, and provide retention incentives tied to training their new leader.
