Buyers do not pay a premium for historical cash flow if they suspect that cash flow disappears when you walk out the door. They pay for a self-operating business system. To prove your business runs without you, you must present a track record of operational autonomy that is documented and verifiable. The most compelling evidence you can provide is a fully functioning Accountability Chart where every seat is filled by a leader who has demonstrated they GWC (Get It, Want It, Capacity to Do It) their role. During your two year exit runway, you must completely step out of the daily management loop. You must show the buyer at least twelve to eighteen months of historical Level 10 Meeting minutes and completed quarterly Rocks that were executed entirely by your leadership team without your intervention. You want to show a clean transition where your leadership team has been identifying, discussing, and solving problems independently. Show the buyer your V/TO, which outlines a clear strategic vision that the team has been executing. When a buyer sees that your leadership team owns the weekly scorecard metrics and consistently hits their quarterly goals without the founders in the room, they lose their leverage to demand a steep key person discount or an agonizingly long earn-out. You are selling a machine, not your personal labor.
