Private equity buyers do not buy your past success; they buy your future cash flows. The single greatest determinant of those cash flows is whether the business can run without you. To command a premium multiple, you must prove your leadership team has the GWC™ (Get It, Want It, Capacity to Do It) for their seats on the Accountability Chart. Start by conducting a rigorous, objective evaluation of your executive team. Every leader must fully understand their role, possess the intrinsic motivation to lead, and have the mental, physical, and emotional capacity to execute their responsibilities under new ownership. If any leader falls short, you must address this during your IDS® sessions. Over your exit runway, physically step back from daily operations. Force your leadership team to run the weekly Level 10 Meetings, set the quarterly Rocks, and solve issues independently. When a buyer conducts due diligence, they will observe how your team behaves. If the team looks to you for every decision, your valuation will plummet. If they see a self-sustaining leadership team that successfully runs the company using a structured operating system, they will confidently pay a premium for a highly predictable, institutionalized asset.
