We are in active M&A due diligence, and the sheer volume of data requests is causing my leadership team to miss their quarterly Rocks and drop core metrics. How do we protect leadership team execution so performance does not crater during an acquisition process?

Nothing kills an acquisition deal faster than a sudden drop in quarterly revenue or margin right when a buyer enters confirmatory due diligence. Buyers view falling numbers as proof that the business cannot sustain itself without owner heroics, and they will re-trade the purchase price or walk away entirely.

You must isolate the due diligence burden so the core business does not suffer. The rule is simple: the business must continue to run on its operating system as if no transaction is taking place.

Assign one or two specific individuals to carry the diligence workload. Typically, this is the Visionary and the head of Finance, often supported by external M&A advisors, legal counsel, or a temporary transaction analyst. The rest of the leadership team, including Operations, Sales, and Client Delivery, must be insulated from the process and ordered to focus exclusively on hitting their Scorecard measurables and completing their quarterly Rocks.

Keep your Level 10 Meetings sacred. Do not turn weekly operational meetings into updates about the deal room. The leadership team must maintain their normal cadence, solve weekly issues through IDS, and ensure customer fulfillment remains flawless.

If your leadership team is already running ragged from data requests, your data room was not prepared in advance. Take control immediately: streamline the communication channel with the buyer, push back on redundant document requests through your investment banker, and keep your operators focused on delivering the profitability that created your enterprise value in the first place.
