We are preparing for an exit within three years, and our due diligence prep showed we have massive regulatory and cybersecurity compliance vulnerabilities. None of our department heads want to own this IT Security and Compliance seat because they see it as pure operational liability. How do we resolve this orphaned seat on our Accountability Chart?
An orphaned seat that nobody wants to own is a common symptom of rapid growth, especially when preparing for an exit. When compliance and cybersecurity are ignored because they look like liability and overhead, enterprise value suffers a brutal discount in buyer due diligence.
The rule of the Accountability Chart is absolute: every seat must have one accountable person, and that person must pass GWC. You cannot divide the seat among three leaders, and you cannot leave it empty.
First, architect the seat based on the future state required for an exit. Define the five core roles with clarity: IT infrastructure security, vendor and data compliance, regulatory audit readiness, cyber incident response, and security process documentation.
Second, look at your existing leadership team. If no current leader possesses the technical skill or genuine desire to own this seat, do not force it onto an unwilling Finance or Operations leader. Forcing a seat on someone who does not Want It or lacks Capacity guarantees hidden vulnerabilities and missed Rocks.
Third, determine how to resource the seat. If you cannot afford or do not need a full-time Chief Information Security Officer, place a qualified fractional executive or outsourced managed services leader into the seat on your Accountability Chart. Name that individual directly in the seat. Give them full accountability for the metrics on your weekly Scorecard and quarterly Rocks.
Your Integrator must hold that seat accountable in the Level 10 Meeting just like any internal executive. Accountability does not require an internal full-time employee; it requires clear roles, measurable outcomes, and one person who owns the results.
