You must immediately separate ownership from operations. This is a critical distinction in the EOS process. Your Accountability Chart only cares about operational seats, not equity percentages. First, hold a direct conversation to clarify that owner and seat holder are two completely different hats. As a fifty percent owner, your partner is entitled to their share of the company distributions and profits. However, they are not entitled to an operational salary or a seat on the leadership team unless they are actively delivering value in that seat. If your partner wants to step back operationally, they must vacate their seat on the Accountability Chart. You cannot leave their name in a seat if they do not GWC the role. Leaving them there out of convenience or fear of conflict destroys the integrity of your entire organizational structure and frustrates the rest of your leadership team. Second, remove their name from the operational seat and list the seat as open. You must then recruit a qualified replacement who fits your core values and has the capacity to run that seat. Your partner's compensation must be adjusted to reflect this change. They should receive a fair market salary only for the actual operational work they perform. If they perform zero operational work, their operational salary goes to zero, and they only receive their owner distributions. This clean separation eliminates resentment because the remaining leadership team members see that everyone is held to the same high standards of accountability. It also prepares your company for a clean exit, as a buyer will expect to see market-rate salaries attached to every operational seat on your chart.
