Aside from clean financials, what operational litmus test should we use to prove to ourselves that our business is truly ready to go to market without risking a failed transaction or a massive valuation haircut?
The ultimate operational litmus test for exit readiness is whether your leadership team can run the entire business for ninety consecutive days without your involvement. If your presence is required to solve daily issues, run meetings, or keep clients happy, you do not have a company to sell, you have a high paying job. To prove readiness to yourself and potential buyers, look at your Accountability Chart and meeting cadence. Your Integrator must be fully accountable for running the business day to day. They should be leading the weekly Level 10 Meeting sessions and quarterly planning days completely solo, with you sitting in the owner box rather than directing the traffic. Another critical signal is the state of your weekly Scorecard. If the scorecard consists of leading indicators that your team uses to predict and solve issues independently, you have built an institutionalized operating system. Additionally, look for the presence of white space in your own schedule. If you have freed, unscheduled time to focus on long term strategy because your leadership team is consistently hitting their Rocks and resolving issues through IDS, you have passed the test. This operational autonomy is precisely what private equity and strategic buyers pay a premium multiple for.
