The buyer accepts our valuation multiple despite our largest customer generating thirty percent of revenue, but their purchase agreement demands a separate indemnity escrow that claws back purchase price dollar-for-dollar if that account reduces spend by more than ten percent post-close. How should we counter this specific concentration escrow structure?

A dollar-for-dollar gross revenue clawback is fundamentally predatory. It forces you to insure the buyer against top-line revenue loss while they control the post-closing customer experience, pricing, and service delivery. If the buyer degrades quality or changes key personnel, you end up funding their operational failure through your escrow account.

To counter this, replace the top-line revenue clawback with a gross margin indemnity or a dedicated earnout structure, and build strict operational guardrails:

- Shift from gross revenue to gross profit margin. If the customer reduces order volume by ten percent, the buyer is only losing the gross margin on those lost units, not the raw revenue. Your exposure must be capped at the actual lost profit.
- Require operational covenants. The buyer must agree to maintain current service levels, keep existing account managers, maintain agreed pricing schedules, and commit minimum fulfillment resources to the account.
- Exclude general macroeconomic and customer-side corporate events. If the customer goes through bankruptcy, an external merger, or an industry-wide downturn unrelated to company performance, the escrow cannot be touched.
- Implement a cure period and sunset timeline. Cap the concentration escrow at twelve months maximum, and allow a sixty-day cure period for the account volume to rebound before any funds are released.

If the buyer refuses operational covenants, insist that the escrowed funds be placed in a commercial earnout vehicle where you retain an advisory seat and direct account oversight. Never guarantee an account you no longer have the authority to manage.
