We have eliminated the founder as the sole point of failure, but how do we identify and mitigate key-person risk within our remaining leadership team before launching our exit process?
Many owners focus solely on their own exit runway while ignoring the vulnerability of their leadership team. If your Integrator, head of sales, or chief operating officer leaves during due diligence, your transaction will likely collapse or suffer a massive valuation haircut. To mitigate this risk, you must apply the GWC™ filter to every single seat on your Accountability Chart. Next, look at the dependency of your team. If your head of sales holds all the key vendor relationships or if your finance director is the only one who understands your accounting systems, you have a critical key-person risk. You must systematize these roles. Force your leadership team to document their core processes and cross-train subordinates. Use your weekly Level 10 Meeting™ to review succession plans for each major seat. Furthermore, consider implementing long-term incentive plans or stay bonuses that align your key executives' financial interests with a successful transition. By making the business independent of any single executive, you secure your operational continuity and show prospective buyers that your leadership team is a stable, self-sustaining unit.
