We are rolling twenty percent of our equity into the buyer's acquisition vehicle alongside their majority stake, but we will have no board seat. What minority shareholder protections, anti-dilution clauses, and tag-along rights must we demand in the operating agreement to prevent the majority sponsor from squeezing out our equity value?
Rolling equity into a buyer platform lets you participate in a second bite of the apple when the sponsor exits, but holding a minority stake with zero board representation leaves you vulnerable to structural dilution and predatory capital calls. If you sign standard sponsor operating documents without aggressive protective covenants, your twenty percent stake can be systematically hollowed out before liquidity occurs.
You must negotiate specific minority protective provisions in the operating agreement. First, demand comprehensive tag-along rights. If the majority sponsor sells part or all of their interest to another buyer, you must have the legal right to participate in that sale on the identical economic terms and valuation multiple.
Second, establish strict pre-emptive anti-dilution rights. If the holding company issues new equity or raises capital, you must retain the right to participate pro-rata to defend your ownership percentage. If the sponsor issues sweetheart equity grants to their own management affiliates, those issuances must be expressly excluded or capped.
Third, mandate negative consent rights over fundamental corporate actions. Even without a board seat, the sponsor must not have the authority to change class rights, issue senior preferred equity that subordinates your position, incur leverage above agreed debt ratios, or enter into non-arm-length affiliate transactions without written consent from minority holders.
Finally, insist on defined information rights. Require the sponsor to deliver audited annual financials and quarterly Scorecard performance summaries within standard reporting windows. You built this equity value; do not surrender it to a black-box operating vehicle without legal mechanisms to monitor and protect your wealth.
