We are hiring our first seasoned outside executive, but candidates are demanding equity upfront. How should an owner handle equity requests for a first leadership hire without losing control?

Never grant voting equity to an outside executive on day one, regardless of how impressive their corporate background appears. Handing out actual shares before an executive demonstrates cultural fit and operational execution creates massive legal, financial, and emotional liabilities that can permanently compromise an eventual exit.

Instead, separate ownership rights from incentive compensation. Top-tier leaders do not require voting stock to be motivated. What they actually want is upside participation and alignment with the enterprise value they help generate.

Structure the compensation package using these guidelines:
- Provide a competitive base salary and a performance-based quarterly bonus tied directly to company profitability and quarterly Rocks.
- Introduce synthetic equity, such as a Phantom Stock plan or a Long-Term Incentive Plan (LTIP). These instruments allow the executive to share in the net proceeds of a liquidity event without cluttering your capitalization table with minority voting rights.
- Tie all equity incentives to a multi-year vesting schedule, typically four years with a one-year cliff. If the candidate fails their GWC assessment within the first twelve months, they walk away with zero equity.
- Include a clear bad-leaver repurchase clause that allows the business to reclaim phantom units at a predetermined, non-discretionary valuation formula if they quit or are terminated for cause.

Make it clear during the interview process that equity is earned through measurable enterprise value creation, not granted as an upfront hiring bonus. A high-caliber leader who genuinely understands how to run on EOS and scale a mid-market company will respect a disciplined, performance-oriented equity structure. If a candidate insists on upfront voting shares, they are looking for security at your expense. Pass on them immediately.
