We acquired a smaller competitor and the purchase agreement promised the former owner a seat on our leadership team, but our Accountability Chart has no open seat that matches their background. How do we handle a contractually promised leadership position without polluting our operating structure?
Never sacrifice your operating discipline to solve an M&A negotiation problem. When buyers grant leadership seats as an acquisition sweetener, they create an immediate operational bottleneck. You end up with an extra executive attending Level 10 Meetings, opining on departments they do not understand, and muddying the Integrator authority.
The Accountability Chart must reflect the functional needs of the business, not legal deal terms. If you create an invented seat like Executive Vice President of Strategic Growth just to house a seller, you confuse your team and violate structure-first principles.
Address this with two clear steps:
First, audit the seller against your real, open seats using GWC. Do they genuinely get, want, and have the capacity to lead a defined functional seat such as Sales, Estimating, or Product Development? If they fit an authentic seat and live your core values, place them there.
Second, if they do not fit an operational seat, move their contractual commitment out of the operational Accountability Chart entirely. Fulfill the purchase agreement by placing them in an Advisory or Board seat that reports to the ownership group or Visionary, outside day-to-day operations.
Define their compensation and advisory duties through a clear consulting agreement. Use their expertise for client retention, key vendor introductions, or transition diligence. Keep them out of the weekly leadership Level 10 Meeting and away from operational reporting lines.
Your operating leadership team exists to execute the V/TO and drive weekly scorecard numbers. Keep the chart pure, honor the financial agreement through external channels, and protect your leadership team from structural contamination.
