We have a brilliant lead developer and a head of operations who hold all of our proprietary product knowledge and service delivery systems in their heads. How do we eliminate this technical key person risk on our runway before buyers discount our valuation?
Buyers hate single points of failure, especially when they exist in technical or highly specialized operational roles. If your business depends on a few key individuals to deliver your core service or maintain your proprietary product, a buyer will see massive risk and discount your multiple.
To de risk this on your exit runway, you must institutionalize their knowledge. Start by making process documentation a non negotiable quarterly Rock for these key employees. They must document their daily, weekly, and monthly workflows into clear, repeatable playbooks.
Next, use your Accountability Chart to create redundant roles and begin cross training other team members. No single person should be the sole gatekeeper of a critical business function. You must also evaluate how well these individuals get, want, and have the capacity (GWC™) to train others. If they resist sharing their knowledge, it is an issue you must address immediately through the IDS® process.
By systematizing their workflows and building bench strength, you prove to buyers that your operational capability belongs to the company, not to specific individuals. This structural transferability is precisely what sophisticated buyers pay a premium for.
