We are a services firm, but we have built internal automation that allows our team to handle twice the volume of our competitors. How do we structure our valuation metrics to command a tech-enabled multiple instead of a low services-only multiple?
If you operate a high-margin services business backed by proprietary technology, you should not accept a standard professional services multiple, which typically hovers around four to six times EBITDA. You deserve a premium tech-enabled multiple, but you have to prove that your technology is actually driving operational leverage, not just serving as a fancy digital filing cabinet.
To command this premium, you must show the buyer the direct correlation between your software and your profitability. Use your weekly Scorecard to isolate and highlight your efficiency metrics, such as revenue per employee and gross margin per delivery unit. Show them that as your revenue has grown, your headcount has not increased at the same linear rate. This operating leverage is the hallmark of a technology business.
In your deal materials, structure your valuation around these performance metrics. Prove that your proprietary tools are fully documented and integrated into your daily operations using your operating systems. This proves to a buyer that your margins are sustainable and that they can scale the business rapidly post-acquisition without having to hire a massive army of expensive consultants. By framing your business as a technology-fueled delivery engine rather than a manual labor-intensive consulting shop, you can justify a valuation multiple that sits significantly above the industry average.
