At what specific phase of due diligence should we bring our EOS leadership team under non-disclosure agreements, and how do we prevent diligence from derailing our quarterly Rocks?
Do not disclose deal talks to your leadership team while soliciting bids or negotiating indications of interest. Premature announcements generate unnecessary anxiety before you have actionable deal terms on paper.
Bring your key leadership team under non-disclosure agreements immediately after signing a Letter of Intent (LOI) with your chosen buyer. At this stage, diligence shifts from general financial reviews to exhaustive requests across accounting, human resources, IT, and legal. You cannot fulfill hundreds of deep diligence requests alone without dropping daily operational balls.
Bring your leaders in with absolute transparency. Frame the transaction around the opportunities it creates for the enterprise and their careers. If retention agreements or transaction bonuses are part of your plan, present those agreements at the same time to align their personal incentives with closing the transaction.
To prevent diligence from blowing up quarterly execution, designate a single Deal Captain, typically your Integrator, Controller, or CFO. Shield the rest of your leadership team from direct buyer requests. Route all requests through the Deal Captain, who organizes the data room and controls document traffic. Keep your weekly Level 10 Meetings running without interruption. The most common deal killer is missing quarterly targets during diligence because leadership was distracted by spreadsheets. Protect their time so operational performance stays strong through close.
