How do we protect our business from performance dips caused by due diligence fatigue while managing thousands of buyer document requests on top of our quarterly Rocks?

Due diligence fatigue is one of the most common reasons deals fall apart or valuations get renegotiated. When an owner and leadership team spend fifty hours a week pulling contracts, bank statements, and HR files, normal operational execution slips. If revenue or margins drop during diligence, the buyer will immediately discount their offer.

You must compartmentalize diligence from daily operations. The business must continue hitting its numbers, because any trailing quarterly stumble hands the buyer an excuse to demand a price concession.

To insulate your operations, apply these disciplines:
- Appoint a deal quarterback. Designate a single point person, such as your finance leader or an outsourced transaction advisor, to handle all buyer data requests. Keep the rest of your leadership team completely insulated so they can focus on their seats.
- Maintain the Level 10 Meeting discipline. Do not cancel weekly leadership meetings to deal with buyer requests. Use the meeting to review your standard Scorecard and keep your focus on quarterly Rocks.
- Address diligence bottlenecks inside IDS. If diligence demands threaten an operational deadline, raise the issue during the IDS portion of your meeting and redistribute resources immediately.
- Build your data room before going to market. Never enter the market without your historical contracts, payroll summaries, and corporate records already indexed and organized.

Diligence is a battle of endurance. Protecting your operating team allows the core company to run strong while the deal moves across the finish line.
