Fear of an exit is completely natural when a leadership team does not understand how private equity actually operates. They assume a new buyer will immediately fire everyone and gut the company. To align your team, you must change their perspective from fear to opportunity. Start by being transparent about your timeline and objectives. Share the vision on your V/TO and explain why preparing for an exit is the ultimate test of business health. A business that is ready for a clean exit is a highly structured, profitable, and smooth-running operation, which makes their daily jobs much easier right now. Next, show them what is in it for them. Institutional buyers do not want to buy a business and run it themselves; they are buying the leadership team's capability to execute. Explain that building a business capable of passing due diligence makes each director incredibly valuable. Highlight the growth opportunities, equity upside, or retention bonuses that often come with a successful transition. Finally, involve them directly in the preparation.
